  1. Definitions

Client: Person or entity ordering goods or services from TOMO.

Goods: Metal products or fabricated items supplied by TOMO.

Services: Any fabrication, finishing, or related work performed by TOMO.

Agreement: These Terms of Trade.

  1. Acceptance of Terms (Revised)

By paying the deposit invoice issued by TOMO, the Client acknowledges and agrees to be bound by these Terms of Trade. No additional signature or written confirmation is required. Placing an order and making the deposit constitutes acceptance of all terms, including pricing, fabrication tolerances, surface finish variations, delivery, and warranty conditions.

  1. Quotations and Orders

Quotations are valid for 7 days.

Orders are accepted upon written confirmation by TOMO.

Custom or special orders cannot be canceled once fabrication begins.

  1. Pricing and Payment

Prices are as quoted unless otherwise agreed in writing.

Payment: 50% deposit upfront, 50% + shipping before delivery.

No late payment penalties apply.

  1. Fabrication Tolerances

Dimensional tolerances: ±5mm unless specified otherwise.

Minor deviations do not constitute grounds for rejection.

  1. Surface Finish & Appearance

Slight variations in metal finishing or coated surfaces are inherent to fabrication process.

Variations in texture, color, or appearance are not considered defects.

  1. Delivery & Risk

Delivery method: Air freight, sea freight.

Delivery dates are estimates only.

Risk transfers to the Client upon goods leaving TOMO’s workshop.

  1. Warranty

Period: 12 months from delivery.

Scope: Covers replacement or repair of faulty goods at TOMO’s discretion.

Exclusions:

Normal wear and tear, corrosion, or oxidation.

Damage from misuse, accident, neglect, or improper handling.

Unauthorized modifications or alterations.

Variations in surface finish or coating inherent to custom fabrication.

Claims: Notify TOMO in writing within the warranty period; provide reasonable access for inspection. TOMO is not liable for consequential, indirect, or incidental damages.

  1. Liability

Limited to replacement or repair of faulty goods.

TOMO is not liable for indirect or consequential losses.

  1. Intellectual Property

Designs, drawings, and technical specifications remain the property of TOMO unless otherwise agreed.

Clients must not reproduce or distribute designs without written consent.

  1. Governing Law

Governed by the laws of New Zealand.

Any disputes will be resolved in New Zealand courts.

  1. Acceptance

By paying the deposit invoice, the Client accepts these Terms of Trade in full and agrees that they govern the supply of goods and services by TOMO. No signed agreement is required.
